Board of Directors Meeting Minutes for January 21, 2015

The Board of Directors meeting was called to order by Don Toth at 10:00 A.M. in the Tanglewood rec hall bingo area. Don Toth led the Pledge of Allegiances to the flag.
Estimated number of residents in attendance was 187.
Prior to the opening of the HOA meeting, Don Toth announced the passing of one of our founders of the Tanglewood HOA, Don Pissani. Through Don’s persistent efforts, gathered together a nucleus of dedicated residents to form the HOA five years ago. Through his guidance and wisdom his efforts will be remember by all Tanglewood residents for years to come. We will miss him and pray he is in a better place. May we all have a minute of silence in remembrance of him.
To reaffirm the HOA purpose, Don Toth read the HOA’s “Mission Statement.” In addition, all residents are welcome to the meeting whether they are paid or unpaid members of the HOA.
Roll call was taken by Merritt Wiley. Present: Don Toth, Jack Nelson, Bob Cartwright, Charlie Coupe, Nancy Gallagher, Janet Peterson, Judith Eckstein and Merritt Wiley. All board members were present for the meeting. Don announced we have a quorum.
Don Toth asked for a motion to accept the minutes from the December 17, 2014 HOA Board meeting. Jack Nelson made a motion to accept the minutes as written; it was seconded by Charlie Coupe and passed by all Board members.
President’s report: Don Toth – membership dues notice has been sent to all residents and asked each resident household please pay your dues. The Board of Directors received a letter of resignation from Jerry Callen and asked for a motion to accept it. Jack Nelson made a motion to accept Jerry Callen’s resignation; it was seconded by Bob Cartwright and passed by all members.
Vice President’s report: Jack Nelson had nothing to report.
Secretary’s report: Merritt Wiley presented a proposal that the Tanglewood HOA should have their own laptop computer for the use of the secretary for all HOA business. All HOA records would be stored on this computer. The proposed laptop would be a 17.3” Toshiba 8 GB of RAM, 550 GB of memory, Windows 8.1, and supporting equipment would be Windows Office 2013 Home and School, mouse, back-up drive and carrying case. Total price would not exceed $750.00. The issue was discussed by the Board members with no negative comments. A motion was made by Jack Nelson that the HOA purchase the computer with related items and the price not exceed $750.00. It was seconded by Judith Eckstein and passed by all board members.
Treasurer’s report: Bob Cartwright gave the treasurer’s report for the month of December 2014. Beginning balance for December 1, 2014 was $12,827.49. Total deposits made were $3,170.00 and total expenses were $452.30. Ending balance as of December 31, 2014 was $15,545.19. As of January 21, 2015, there are 337 paid members of which 33 are new. An average number of members in Tanglewood are 31%.
Other Board Member reports: No other reports were given by Board members.
Don Toth asked for a motion to accept all officer reports. Jack Nelson made the motion to accept all officer reports; it was seconded by Merritt Wiley and passed by all Board members.
Don Toth asked for committee reports:
Property rents committee: There was nothing to report at this time.
Amenities committee: Charlie Coupe reported the Amenities Committee is continuing to monitor the amenities throughout the park. Monthly meetings are being held with the park manager to discuss what has been accomplished and what new items have been added to the list that requires attention. His report number 21 dated January 15, 2015 was recited to the membership which included items that have been completed, items under contract, capital expenses that have been approved and pending capital expenses. This report is posted on the HOA bulletin board.
Resales and rentals committee: Judith Eckstein reported the following information – in December of 2013 there were 11 units sold with an average selling price of $36,725.00. In December of 2014 there were 8 units sold with an average selling price of $37,945.00. In 2013 year to date there were 85 homes sold and in 2014 year to date there were 106 homes sold giving a 21 unit increase year to date. The average selling price in 2013 YTD was $33,287.00 and the average selling price in 2014 YTD was $36,524.00 thus a $3,237.00 average dollar increase in selling price YTD. Last month there were 72 homes for sale and this month there are 65 homes for sale. Traffic is increasing due to increased advertising and home pricing/value is continuing to increase with mandatory NADA market analysis. Four Star is holding open houses every weekend.
Acquisitions committee: Don Toth had nothing to report.
Suggestions and Comments committee: Janet Peterson reported Director Judith Eckstein has joined this committee and will be a great help as Tanglewood is her year round residence. Also, Julia Hinshaw has joined this committee. A special thanks to both of you. Comment/suggestions have been received and recorded and will be discussed at our next meeting with management. Please note your names and numbers are kept confidential. Jim Child reviewed a few concerns that will be discussed with management.
Safety committee: Jack Nelson report people walking at night should wear light colored clothes and carry a light to be seen by cars and golf carts. Dick Miller Director for Sun-n Lakes informed Jack Nelson, due to the safety hazard with Dollar General’s south exit on to Tanglewood entrance road; Dollar General will be closing this entrance. Jack asked residents to be very careful who you give the new gate code to.
Outside vendors committee: Because of liability issues with the HOA making recommendations for an outside vendor, Jack Nelson made a motion that the Outside Vendor Committee be eliminated; Janet Peterson seconded the motion and passed by all Board members.
Statutory Committee: Don Toth had nothing to report.
Communications committee: Charlie Coupe had nothing to report.
Nominations and Elections committee: Merritt Wiley closed the nominations for the nine Board of Directors positions on the Tanglewood Homeowners Association for the 2015 election. Only eight nominations were received and they are Janet Peterson, Judith Eckstein, Nancy Gallagher, Don Toth, Charlie Coupe, Bob Cartwright, Jack Nelson and Merritt Wiley. Jack Nelson made a motion to accept the eight nominations as received; Charlie Coupe seconded the motion and passed by all Board members.
Committee report acceptance: Janet Peterson made a motion to accept the committee reports; seconded by Judith Eckstein and passed by all Board members.
New business: Don Toth announced there were only eight nominations for the nine Board of Directors position. He asked the Board of Directors to vote on acceptance of these eight nominations as the new Board of Directors for the Tanglewood Homeowners Association for 2015. Don Toth asked Merritt Wiley to do a roll call vote; Nancy Gallagher – yes, Janet Peterson – yes, Judith Eckstein – yes, Charlie Coupe – yes, Jack Nelson – yes, Bob Cartwright – yes, Merritt Wiley – yes and Don Toth – yes. There will be an organizational meeting next week to elect new officers. The results will be posted on the bulletin board and on our web site.

Don Toth asked for a motion to close the meeting at 10:45 A.M. Judith Eckstein made a motion to close the meeting; it was seconded by Janet Peterson and passed by all Board members.
