Special Board of Directors Meeting Minutes
February 19, 2018
A special Board of Directors meeting was called to order by President Don Toth at 3:30 P.M. at his home in Tanglewood. The purpose of this Special Board of Directors meeting is to provide authorization to the HOA lawyer Brandon Craig to file a law suit in circuit court if our request to lower rents is not met in the mediation meeting with Hometown America on February 21, 2018. If necessary, filling of the law suit will take place within a 45 day period upon closing of the mediation meeting.
Roll call was taken by acting secretary Merritt Wiley. Those present: President Don Toth, Executive Vice President Jack Nelson, Vice President Merritt Wiley, Treasurer Bob Cartwright, Directors; Judith Eckstein, Charlie Coupe, Tom Guinther and Jeffery Donde. One excused absence – Janet Peterson. Don announced we have a quorum.
The issue of providing authorization to file a law suit in circuit court was discussed by all present with each Director providing their view points. With discussions complete, Director Tom Guinther made a motion to give authorization to the HOA lawyer Brandon Craig to file a law suit in circuit court if our request to lower rents is not met in the mediation meeting on February 21, 2018. Don Toth asked for further discussions. There were no further discussions. Director Judith Eckstein seconded the motion. Don Toth asked for a verbal “in favor” vote. All present vote in favor. Don Toth asked for a verbal “not in favor” vote. There were no “not in favor” votes. The motion passed.
Notice of the Tanglewood Homeowners Association Board of Directors authorization for a law suit will be transmitted to Brandon Craig by Director Tom Guinther.
No other issues were discussed in this meeting.
President Don Toth closed the meeting at 4:15 P.M.
